1. Introduction

Charms are part of a virtual points system used by Character Technologies, Inc. ("we" "us" and "Company") on Character.AI. Charms are fictional, non-monetary, digital points or credits made available solely within Company's Website and App, together with any of its content, tools, features, and functionality (the "Services"). Users can earn Charms through activities within the Services to unlock access to special features, and purchase Charms and use them on a wider set of features available on the Services. Charms are tied to your Character.AI User Account ("User Account) and are not redeemable for real-world money. Information collected from or about you from your use of Charms will be subject to our Privacy Policy.

By using the Charms feature you accept and agree to be bound and abide by these Charms Terms of Use. If you do not understand or want to agree to these terms, please don't access or use Charms.

2. Nature of Charms

2.1 License Only. Charms are a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license granted to You for use solely within the Services. You acknowledge that you have no ownership interest in Charms.

2.2 Lack of Monetary Value. Charms are not a currency or currency substitute and have no cash value, monetary value, or real-world value, and may not be redeemed for real currency, credit, property, services, or any other form of real-world money or financial instrument, except where expressly required by applicable law.

2.3 No Property Rights. You acknowledge and agree that Charms do not constitute personal property, and You have no rights or interests in Charms that may be transferred, assigned, inherited, sold, or otherwise disposed of.

3. Earning Charms

3.1 You may earn Charms by participating in activities, quests, or programs made available by Company. Unless otherwise prohibited or restricted by applicable law, any user with a User Account may be eligible to start earning Charms when opportunities to do so appear in the app or on the web version of the Services.

3.2 Company reserves the right, at any time and in its sole discretion, to modify, suspend, or discontinue any method of earning Charms, including adjusting the rate, frequency, availability, or on-platform value of Charms.

3.3 Company does not guarantee the continued availability of Charms or any specific quantity, price, value, or bundle.

3.4 Company may suspend or terminate Your User Account or revoke or adjust Charms that were awarded in error, obtained fraudulently, or earned in violation of our Terms of Service or these Charms Terms of Use.

4. Purchasing Charms

4.1 You may buy Charms using accepted payment methods through authorized platforms. These platforms may be operated by third parties, are not under our direct control, and any access to these third-party services and information provided to these third parties may be governed by their own terms.

4.2 Prices for Charms, including any applicable taxes or fees, will be displayed at the point of purchase and may be modified at any time.

4.3 All purchases of Charms are final and non-refundable, except where required by applicable law or expressly permitted by Company in its sole discretion.

4.4 Company does not guarantee the continued availability of Charms for purchase or any specific quantity, price, or bundle.

4.5 Company may revoke or adjust Charms that were purchased fraudulently, or earned in violation of our Terms of Service or these Charms Terms of Use.

5. Refunds

5.1 Earned Charms. Charms obtained through gameplay, quests, or other non-purchase mechanisms are provided at no monetary charge and are not eligible for refunds or compensation under any circumstances.

5.2 Purchased Charms. Except where required by applicable law, all purchases of Charms are final, non-refundable, and non-exchangeable. You acknowledge that once Charms are credited to Your User Account, you lose any statutory "cooling-off" or withdrawal rights to the maximum extent permitted by law.

5.3 Unauthorized Transactions. You are responsible for all activities that occur under your User Account, regardless of whether you authorized them, had knowledge of them, or whether such activity resulted from your negligence. This includes, but is not limited to, the earning and redemption of Charms, any violations of these Charms Terms of Use, and any fraudulent activity that may occur through Your User Account. If You believe that a purchase of Charms was unauthorized or made without Your consent, You must notify Company promptly. Company may, in its sole discretion, investigate and determine eligibility for a refund or adjustment. Company is under no obligation to provide a refund unless required by law.

5.4 Platform Purchases. If You purchased Charms through a third-party platform (e.g., Apple App Store, Google Play Store), refunds may be subject to that platform's terms and refund procedures. Company does not control and is not responsible for third-party refund or billing decisions.

5.5 Technical Issues. In the event Charms are not properly delivered due to a verified technical error, Company may, at its sole discretion, credit your Wallet with the appropriate amount of Charms. This is the sole and exclusive remedy for such errors.

5.6 Discontinued Features. Company may modify, suspend, or discontinue Charms or related features at any time and in its sole discretion. Company has no obligation to provide refunds or compensation for discontinued functionality, devaluation of Charms, or changes in their availability or use.

6. Use of Charms and Virtual Items

6.1 Charms may be used only for the purposes and functionalities expressly enabled within the Services, supported by Company, and in accordance with our Terms of Service, these Charms Terms of Use, and our Community Guidelines.

6.2 "Virtual Items" means any in-app content, features, functionality, or digital goods offered now or in the future available within the Services and capable of being acquired through Charms.

6.3 Company may, at any time and without liability, modify, suspend, or discontinue any Virtual Items or features associated with Charms.

6.4 Charms may not be sold, licensed, leased, rented, assigned, transferred, gifted, traded, or exchanged between users, whether within or outside the Services, unless Company expressly permits such functionality.

7. Account Suspension, Termination, Deletion and Forfeiture

7.1 Company may suspend or terminate Your User Account, or limit, deactivate, or remove Charms, at its sole discretion, for any violation of our Terms of Service, these Charms Terms of Use, our Community Guidelines, or applicable law.

7.2 Upon suspension or termination of your User Account, including if You choose to close or delete your User Account, all Charms associated with the account are immediately forfeited and are not eligible for refund, compensation, or reinstatement.

7.3 Company shall not be liable for any loss of Charms due to unauthorized account access, user error, technical malfunction, or discontinuation of the Services.

8. Users under 18 years old

8.1 Users under the age of 18 ("Minors") may earn or purchase Charms subject to these Charms Terms of Use.

8.2 Certain features, Virtual Items, or use cases may be restricted for Minors, including in accordance with Company policies or applicable law.

8.3 Parents and legal guardians are responsible for all activity conducted by Minors, including earning, purchasing, using, and spending Charms.

9. Modification and Discontinuation

9.1 Company reserves the right, at any time and for any reason, to modify, suspend, devalue, revalue, discontinue, or delete Charms or any part thereof.

9.2 Company may impose limits on the amount of Charms or time period that Charms may be obtained, stored, or used by users, including within a given period, in its sole discretion.

9.3 In the event Charms are discontinued, Company shall have no obligation to provide compensation, refunds, or alternative benefits.

10. Prohibited Conduct

10.1 You agree that You shall not:

10.1.1 manipulate, exploit, or interfere with any Charms mechanic, earning method, or redemption process;

10.1.2 use unauthorized third-party tools, bots, automation, or scripts on the Services (including features or technologies that support Charms);

10.1.3 attempt to engage in unauthorized sale, transfer, or exchange of Charms;

10.1.4 fraudulently obtain or attempt to obtain Charms; or

10.1.5 circumvent or attempt to circumvent any technical or security measure governing Charms or the Services.

Violation of this Section may result in forfeiture of Charms, suspension of access to the Services, termination of Your User Account, and/or legal action.

11. Disclaimers and Limitation of Liability

11.1 Charms are provided on an "as is" basis without warranties of any kind.

11.2 To the fullest extent allowed by law, Company disclaims all liability for loss or damage related to Charms, including loss due to interruption, suspension, modification, expiration, or discontinuation of Charms.

11.3 You agree that Company's total aggregate liability relating to Charms shall not exceed the total amount actually paid by you for Charms during the twelve (12) months immediately preceding the event giving rise to liability.

12. Governing Law and Dispute Resolution

This Agreement shall be governed by the laws and dispute resolution procedures set forth in our Terms of Service, including any arbitration provisions and class-action waivers.

13. Entire Agreement

These Charms Terms of Use, including as applicable our Terms of Service, constitute the entire agreement between You and Company relating to Charms and supersede any prior agreements or understandings relating to the same.
